By accessing or using Popularis ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using our Service, you represent that you are at least 18 years old or have reached the age of majority in your jurisdiction.

2. Description of Service

Popularis provides an electronic signature platform that enables users to create, send, sign, and manage legally binding digital documents. Our Service includes:

  • Electronic signature creation and management
  • Document preparation and template creation
  • Secure document storage and retrieval
  • Audit trails and compliance reporting
  • API access for integrations (on applicable plans)
  • Team collaboration and workflow management

3. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Acceptable Use Policy

You agree not to use the Service to:

5. Electronic Signatures and Legal Validity

Popularis complies with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and the European Union's eIDAS regulation. Electronic signatures created through our Service are legally binding and enforceable.

By using our Service to sign documents, you acknowledge that:

  • You intend to sign the document electronically
  • Your electronic signature has the same legal effect as a handwritten signature
  • You consent to conduct transactions electronically
  • You have the authority to sign on behalf of any entity you represent

6. Subscription Plans and Billing

Popularis offers various subscription plans with different features and usage limits. By subscribing to a paid plan:

  • You agree to pay all fees associated with your selected plan
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change our pricing with 30 days' notice to existing subscribers
  • You authorize us to charge your payment method automatically
  • You are responsible for all taxes associated with your subscription

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial subscription periods.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Popularis and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the documents and content you upload to the Service. By uploading content, you grant us a limited license to store, process, and transmit your content solely to provide the Service to you.

8. Data Security and Privacy

We implement industry-standard security measures to protect your data, including:

  • 256-bit AES encryption for data at rest
  • TLS 1.3 encryption for data in transit
  • Regular security audits and penetration testing

9. Service Availability and Modifications

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may:

  • Perform scheduled maintenance with advance notice

  • Update these Terms by posting changes on our website
  • Suspend access during security incidents or investigations

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POPULARIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Popularis and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or documents uploaded to the Service

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • At your request

Upon termination, your right to use the Service will immediately cease. You may export your documents within 30 days of termination, after which we may delete your data.

13. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for intellectual property disputes.

14. Export Compliance

The Service may be subject to U.S. export control laws. You agree not to export, re-export, or transfer the Service to any prohibited country, person, or entity under U.S. or applicable export laws.

15. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Popularis regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights without restriction.
